2. DAĻA VISPĀRĪGIE NOTEIKUMI 1.Termini un skaidrojumi Apdrošinātājs – ar Līzinga devēju saskaņota juridiska persona, kas apdrošina Līzinga objektu. Ar Līzinga objektu saistītie maksājumi – par Līzinga objektu tā īpašniekam vai turētājam noteiktie maksājumi, tajā skaitā, bet ne tikai, visi valsts vai pašvaldību noteiktie nodokļi un nodevas, soda naudu maksājumi, maksa par īpašuma reģistrāciju u.c. Atlikusī Līzinga objekta vērtība – naudas izteiksmē noteikta Līzinga objekta vērtība uz noteiktu brīdi saskaņā ar Līzinga devēja grāmatvedības datiem. Avansa maksājums – maksājums, kas Maksājumu grafikā norādīts kā pirmais līzinga maksājums. Līguma Komisija – atlīdzība, kuru Līzinga ņēmējs maksā Līzinga devējam par līzinga darījuma izvērtēšanu, tā noslēgšanai nepieciešamo dokumentu sagatavošanu un Līguma administrēšanu. Līgums – šis operatīvā līzinga līgums, kas sastāv no 1. daļas speciālajiem noteikumiem, 2. daļas – vispārīgiem noteikumiem un 3. daļas – maksājumu grafika, kā arī šī operatīvā līzinga līguma visiem turpmākiem grozījumiem un pielikumiem. Līzinga beigu datums – Līguma darbības termiņš Līzinga devējs – Līguma 1.daļā norādītā persona. Līzinga ņēmējs – Līguma 1.daļā norādītā persona. Līzinga maksājums – atlīdzība, ko Līzinga ņēmējs maksā Līzinga devējam par Līzinga objekta lietošanu, ieskaitot PVN, un kas tiek aprēķināta, izmantojot Līguma 1. daļā norādīto procentu likmi. Līzinga maksājumu samaksas datums – datums, kurā Līzinga ņēmējam atbilstoši Līguma noteikumiem ir jāsamaksā Līzinga devējam Līzinga maksājums. Līzinga objekts – Līguma 1.daļā norādītā kustamā manta. Līzinga objekta piegādes akts – dokuments, kuru paraksta Līzinga ņēmējs un Pārdevējs vai Līzinga devējs, lai apliecinātu, ka Līzinga ņēmējs ir pieņēmis Līzinga objektu faktiskajā valdījumā un turējumā (lietošanā). Līzinga objekta pirkuma maksa – naudas summa, par kuru tiek iegādāts Līzinga objekts. Līzinga objekta tirgus vērtība – naudas summa, ko ir iespējams iegūt, likvīdi pārdodot Līzinga objektu vai analogu lietu noteiktā laika periodā Latvijas Republikā. Maksājumu grafiks – Līzinga devēja sastādīts dokuments, kurā norādīti Līzinga ņēmēja veicamie Līzinga maksājumi, Avansa maksājums, Līguma komisijas maksa, pievienotās vērtības nodoklis. Papildu nodrošinājums – Līgumā noteikto Līzinga ņēmēja saistību izpildes nodrošinājums papildus Līzinga objektam. Pārdevējs – Līzinga ņēmēja izvēlēta persona, no kuras Līzinga devējs iegādājas Līzinga objektu saskaņā ar Pirkumu. Pirkums – darījums, saskaņā ar kuru Līzinga devējs iegādājas Līzinga objektu no Pārdevēja. Puses – Līzinga devējs un Līzinga ņēmējs. Rēķins – Līzinga devēja izrakstīts rēķins par naudas summu, kas Līzinga ņēmējam jāmaksā Līzinga devējam saskaņā ar Līgumu. 2.Līguma priekšmets 2.1. Līzinga devējs Līzinga ņēmēja uzdevumā un interesēs iegādājas uz sava vārda Līzinga ņēmēja izvēlēto Līzinga objektu par Līzinga objekta pirkuma maksu saskaņā ar Līguma un Pirkuma noteikumiem. 2.2. Pēc Līzinga objekta iegādes Līzinga devējs nodod Līzinga ņēmējam Līzinga objektu lietošanā uz Līgumā norādīto laiku. Puses uzskatīs, ka Līzinga objekts ir nodots Līzinga ņēmēja valdījumā un turējumā (lietošanā) Līzinga objekta piegādes akta parakstīšanas brīdī. 2.3. Līzinga objekts ir Līzinga devēja īpašums. Līzinga ņēmējam nav tiesību Līzinga objektu pārdot, ieķīlāt un citādi apgrūtināt vai atsavināt, pārveidot Līzinga objektu vai tā tehnisko komplektāciju. 2.4. Līzinga ņēmējs pieņem, lieto Līzinga objektu un maksā Līzinga devējam Līzinga maksājumus un citus Līgumā noteiktos maksājumus. 2.5. Līzinga devējs nav atbildīgs par Līzinga ņēmēja veikto Līzinga objekta izvēli un tā kvalitātes, stāvokļa, tehnisko parametru, lietojuma īpatnību un nolietojuma pakāpes atbilstību Līzinga ņēmēja prasībām. Līzinga ņēmējam jebkāda veida pretenzijas par Līzinga objekta nepilnībām vai trūkumiem ir jāizvirza tā pārdevējam, kā arī visi jautājumi, kas saistīti ar Līzinga objekta kvalitāti, stāvokli, garantijām un atbilstību specifikācijai vai tehniskajiem parametriem, jārisina patstāvīgi ar Līzinga objekta pārdevēju, nepieciešamības gadījumā pieprasot Līzinga devējam attiecīgu pilnvarojumu. 3.Līzinga ņēmēja tiesības un saistības 3.1. Līzinga ņēmējam ir tiesības: 3.1.1. lietot Līzinga objektu, ievērojot Līguma noteikumus, 3.1.2. izdarīt Līzinga objekta labojumus vai veikt darbības, kas nepieciešamas, lai nepasliktinātos Līzinga objekta tehniskais stāvoklis, neskaitot Līzinga objekta normālu nolietojumu. 3.2. Līzinga ņēmējs apņemas: PART 2 GENERAL CONDITIONS 1. Terms and explanations Insurer – a legal entity co-ordinated with the Lessor, which insures the Leasing object. Payments related to the Lease object – payments due to the owner or holder of the Lease object, including, but not limited to, all taxes and duties imposed by the state or municipality, property registration fees, fines etc. Residual value of the Lease object - the monetary value of the Lease object determined for a certain moment according to the Lessor's accounting data. Advance payment - payment indicated in the Payment schedule as the first Leasing payment. Contract Commission – a fee paid by the Lessee to the Lessor for the assessment of the lease contract, preparation of the required documents and managing the Contract. Contract – this operating lease contract which is comprised of the Part 1: Special conditions, the Part 2: General conditions, and the Part 3: Payment schedule, and all further amendments and annexes to this operating lease contract. Expiration date of the Lease – the Contract maturity date Lessor – the person specified in Part 1 of the Contract. Lessee – the person specified in Part 1 of the Contract. Lease payment – the fee paid by the Lessee to the lessor for use of the Lease object, including VAT, and which is calculated using the interest rate specified in Part 1 of the Contract. Date of the Lease payments – a date when the Lessee must pay the Lease payment to the Lessor. Lease object – the movable property specified in the Part 1 of this Contract. Delivery certificate of the Lease object – a document signed by the Lessee and the Seller or the Lessor in order to confirm that the Lessee has accepted the Lease object as its actual possessor and holder (user). Purchase price of the Lease object – a sum for which the Lease object is purchased. Market value of the Lease object – a sum which may be obtained by selling the Lease object as a liquid asset in the Republic of Latvia within a specified period of time. Payment schedule – the document made by the Lessor specifying Lease payments, Advance payment, Contract commission and value added tax to be paid by the Lessee. Additional security – the security of fulfilment of the Lessee’s liabilities under this Contract in addition to the Lease object. Seller – the person selected by the Lessee from which the Lessor purchases the Lease object according to the Purchase. Purchase – the purchase deal according to which the Lessor has acquired the Lease object from the Seller. Parties – the Lessor and the Lessee. Invoice – the invoice issued by the Lessor for the amount of money to be paid by the Lessee according to the Contract. 2. Subject of the Contract 2.1. The Lessor on behalf of and in the interests of the Lessee acquires in its own name the Lease object selected by the Lessee for the Purchase price of the Lease object according to conditions of the Contract and the Purchase. 2.2. Upon acquisition of the Lease object the Lessor transfers the Lease object to the Lessee for the period specified in the Contract. The Parties shall consider that the Lease object has been transferred to the Lessor which becomes its possessor and holder (user) upon the signature of the delivery certificate of the Lease object. 2.3. The Lease object is the property of the Lessor. The Lessee is not entitled to sell, pledge or otherwise encumber, alienate or modify the Lease object or its technical equipment. 2.4. The Lessee accepts and uses the Lease object and pays the Lessor Lease payments and other payments under this Contract. 2.5. The Lessor is not responsible for the compliance of the Lease object and its quality, condition, technical parameters, usage pattern and degree of wear and tear to requirements of the Lessee. The Lessee shall lodge any claims regarding faults or defects of the Lease object to the Seller, and all issues related to the quality, condition, warranties and compliance to the specification or technical parameters of the Lease object shall be solved independently with the Seller of the Lease object, if necessary, requesting a respective authorization from the Lessor. 3. Obligations and rights of the Lessee 3.1. The Lessee has the right: 3.1.1. to use the Lease object in compliance with the provisions of this Contract, 3.1.2. to repair the Lease object or to perform activities necessary not to worsen the technical condition of the Lease object, excluding fair wear and tear of the Lease object.
