3 Section 11. The general meeting draws up its own rules of procedure. § 6. Conference A minimum of one annual conference shall be held for privately employed members of IDA membership category two. § 7. Election of the Board and the Chairperson/Chairman/Chairwoman of the Board Section 1. The general meeting elects a chairperson/chairman/chairwoman from among members of IDA Private Sector. It is possible to stand for election to the post of chairperson/chairman/chairwoman in absentia. IDA Private Sector shall follow the IDA regulations on re-election in force at any time. Section 2. At the time of election, the chairperson/chairman/chairwoman of the Board must be employed by a private company. The chairperson/chairman/chairwoman of the Board may not be employed in a managerial position if said po- sition cannot be compelled to go on strike in accordance with labour laws. Section 3. The general meeting elects eight members to the Board of IDA Private Sector from among the members of IDA Private Sector. It is possible to stand for election to the Board in ab- sentia. IDA Private Sector shall follow the IDA regulations on re-election in force at any time. Three members of the Board must be from companies with a company group/academic club and five members must be from companies without a company group/academic club. How- ever, in the absence of nominees from one group, then representatives may be selected from the other group. Section 4. Members of the Board must be employed by a private company at the time of the election. Managers can be elected to the Board. However, they can be excluded from agenda items where they may have a conflict of interest as a consequence of their job function. This only applies to items that relate to salary and employment conditions. Section 5. Elections for chairperson/chairman/chairwoman and members of the Board are held in the same year that IDA holds elections to the Board of Representatives. Section 6. The general meeting elects four alternates to the Board from members of IDA Private Sector. Alternates are elected in prioritised order. The electoral period is one year. Re-election is permitted. Section 7. A member cannot be elected as an alternate to the Board if they cannot be elected to the Board due to the re-election rule. Section 8. The electability of the chairperson/chairman/chairwoman or a member of the Board ceases if they are no longer a member of IDA membership category two or if they change to a job that belongs un- der IDA Public Sector. The electability of the chairperson/chairman/chairwoman will also cease if they become employed in a leadership position that prohibits them from going on strike in accordance with labour laws. After their job change, the chairperson/chairman/chairwoman or member of the Board can continue to carry out their role until the next general meeting. Section 9 If a member of the Board is no longer able or willing to carry out their role, an alter- nate may take their place in prioritised order. The alternate will join the Board as a full member for the remainder of the electoral period.
