2 Section 5. IDA Private Sector shall draw up standard statutes for company groups. Section 6. To be valid, the statutes and any changes to the statutes of the individual company group must be approved by IDA Private Sector. However, the IDA Secretariat can approve new statutes and changes if they have been drawn up in accordance with the standard statutes ap- proved by IDA Private Sector. Section 7. Members of IDA who are employed in a managerial position and who in accordance with labour laws cannot be required to go on strike, do not have voting rights in company groups/academic clubs on matters pertaining to salary and employment conditions. § 5. IDA Private Sector general meeting Section 1. The general meeting is the supreme authority of IDA Private Sector. Section 2. The annual general meeting is held in the first half of the year. Section 3. All privately employed members of IDA membership category two are entitled to at- tend the general meeting. All participants have voting rights with one vote per participant. The Board of IDA Private Sector may invite any guests of their choice. Guests have speaking rights but do not have voting rights. Section 4. The general meeting is convened by the Board of IDA Private Sector. Section 5. Notice of the general meeting shall be given at least 28 days in advance and must in- clude an agenda. Section 6. Proposals for discussion at the general meeting must be received by the Board no later than 21 days before the general meeting. Proposals that have been received must be sent to or announced to members of IDA membership category two no later than seven days prior to the general meeting. Section 7. The agenda for the ordinary general meeting must, as a minimum, include the follow- ing items: • Election of the chair for the meeting • Approval of the agenda • Report from the Board • Presentation of financial statements • Received proposals • Election • Any other business Section 8. The general meeting may only make decisions on matters that are on the agenda. Section 9. Extraordinary general meetings are held when the Board of IDA Private Sector deem it necessary or on written request by at least 50 privately employed members of IDA member- ship category two from at least five companies. The written request must include proposals for the agenda. Section 10. Voting at the general meeting is by simple majority. Written ballots are only used if requested by at least one member. Members cannot vote through a power of attorney.
